Martello Systems provides AI workflow automation, customized chatbots, AI gap analysis, website creation, logo design, and related digital consulting services. The specific details of the services provided to you will be outlined in a separate Statement of Work or service agreement.
You agree to use our services only for lawful purposes and in accordance with these Terms. You are responsible for providing accurate information necessary for us to perform our services and for maintaining the confidentiality of any account credentials provided to you.
Unless otherwise agreed in writing, Martello Systems retains all intellectual property rights in the tools, methodologies, and pre-existing materials used to deliver our services. Upon full payment, clients receive a license to use the specific deliverables created for them as outlined in their service agreement.
Fees for our services will be set forth in the applicable proposal or invoice. Payment is due as specified in the invoice. We reserve the right to suspend services if payment is not received by the due date.
Both parties agree to maintain the confidentiality of any proprietary or confidential information received from the other party during the course of the engagement, using the same degree of care as they use to protect their own confidential information.
While we strive to provide highly accurate and effective AI solutions, artificial intelligence systems may occasionally produce unexpected results. We do not guarantee that AI-generated outputs will be 100% error-free. Clients are responsible for reviewing and approving AI-generated content before public deployment.
To the maximum extent permitted by law, Martello Systems shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from your use of our services.
Either party may terminate the service agreement with written notice if the other party materially breaches these Terms and fails to cure such breach within 30 days of receiving notice. Upon termination, you must pay for all services rendered up to the termination date.
Our solutions may integrate with third-party platforms or APIs. We are not responsible for the availability, performance, or policies of these third-party services. Your use of third-party services is subject to their respective terms and conditions.
These Terms shall be governed by and construed in accordance with the laws of the State of Utah, without regard to its conflict of law provisions.
We reserve the right to modify these Terms at any time. We will notify users of any material changes by posting the new Terms on this site. Your continued use of the services after such modifications constitutes your acceptance of the updated Terms.
